2. Acceptance of Agreement

The Client shall be deemed to have accepted these Terms and Conditions by:

  • Accessing our website;
  • Requesting a quotation;
  • Approving a proposal;
  • Making any payment;
  • Sending confirmation via email, WhatsApp, SMS, or any digital medium;
  • Using any service offered by MTECH4YOU.

Electronic acceptance shall have the same legal effect as a written signature.

3. Project Process

The standard project workflow may include:

  1. Requirement Analysis
  2. Business and Market Research
  3. Planning and Strategy
  4. Design and Development
  5. Testing and Quality Assurance
  6. Client Review
  7. Deployment, Launch, or Delivery

Project timelines are estimates and may vary depending on project complexity, third-party dependencies, client responsiveness, and content availability.

4. Client Responsibilities

The Client agrees to:

  • Provide accurate information.
  • Supply all required content, images, credentials, and materials.
  • Respond to requests and approvals in a timely manner.
  • Ensure that all provided content is lawful and does not infringe any third-party rights.
  • Review deliverables within a reasonable period.

Any delay caused by the Client may result in revised delivery timelines.

5. Project Scope and Change Requests

The approved quotation, proposal, invoice, email communication, WhatsApp communication, or written agreement shall define the project scope.

Any work requested outside the approved scope shall be considered a Change Request and may result in:

  • Additional charges;
  • Revised timelines;
  • Additional approval requirements.

MTECH4YOU reserves the right to accept or reject any Change Request.

6. Payment Terms

Unless otherwise agreed in writing:

Website Development Projects

  • 50% Advance Payment is required before project commencement.
  • Remaining 50% Payment must be made before final delivery, migration, launch, handover, or ownership transfer.

Other Services

Recurring services such as SEO, Digital Marketing, Maintenance, Hosting Management, and similar services shall be billed according to the agreed service plan.

The payment due date shall be clearly mentioned on the invoice.

Failure to make payment by the due date may result in suspension or termination of services.

7. Non-Refundable Payments

All advance payments, setup fees, consultation fees, development fees, and service fees are strictly non-refundable.

Refunds shall not be issued for:

  • Work already completed;
  • Customized services;
  • Digital services rendered;
  • Project planning and consultation;
  • Development activities already performed.

8. Project Completion

A project shall be considered completed when:

  • The agreed scope has been delivered;
  • Functional testing has been completed;
  • The website or service is ready for deployment or delivery;
  • The Client has been notified of completion.

Client inactivity, delayed feedback, non-response, or failure to provide required information shall not prevent project completion.

9. Ownership and Intellectual Property

All project files, source code, designs, configurations, graphics, content created by MTECH4YOU, documentation, and deliverables shall remain the property of MTECH4YOU until full payment has been received.

Ownership shall transfer to the Client only after:

  • Full payment clearance;
  • Settlement of all outstanding dues.

MTECH4YOU reserves the right to withhold files, credentials, access, deployment, or transfer of ownership until payment obligations are fully satisfied.

10. Client Content

The Client retains ownership of content provided by them.

The Client warrants that all content supplied to MTECH4YOU:

  • Is lawful;
  • Does not violate intellectual property rights;
  • Does not infringe any copyright, trademark, privacy, or other rights.

The Client agrees to indemnify and hold harmless MTECH4YOU from any claims arising from client-supplied content.

11. Hosting, Domains, and Third-Party Services

The Client shall be responsible for costs associated with:

  • Domain Registration and Renewal;
  • Hosting Services;
  • SSL Certificates;
  • Premium Themes;
  • Premium Plugins;
  • Third-Party Licenses;
  • API Services;
  • External Software and Integrations.

MTECH4YOU shall not be liable for failures, downtime, suspension, pricing changes, policy changes, or service interruptions caused by third-party providers.

12. Service Suspension Policy

If payment remains unpaid after the invoice due date, MTECH4YOU reserves the right to suspend any related service without further notice.

Suspended services may include:

  • Website Hosting;
  • Website Access;
  • Website Maintenance;
  • SEO Services;
  • Digital Marketing Services;
  • Business Email Services;
  • Technical Support;
  • Any related service.

No liability shall arise from such suspension.

13. Service Re-Activation Policy

To reactivate a suspended service, the Client must:

  • Pay the full outstanding balance; and
  • Pay a Re-Activation Charge of ₹1,500 per suspended service/account.

Re-Activation shall be initiated only after payment verification.

The Client may be required to provide:

  • Transaction ID;
  • UTR Number;
  • Payment Screenshot;
  • Other proof of payment.

Re-Activation Charges are non-refundable.

14. Permanent Service Termination

If outstanding dues remain unpaid for more than thirty (30) days from the date of suspension, MTECH4YOU reserves the right to permanently terminate the related services.

This may include:

  • Deletion of website files;
  • Removal of hosting accounts;
  • Deletion of business email accounts;
  • Removal of backups;
  • Deletion of databases;
  • Removal of project assets and records.

After permanent termination, MTECH4YOU shall have no obligation to restore, recover, maintain, or provide access to any deleted data.

15. Data Backup and Recovery

The Client is solely responsible for maintaining independent backups of all content, databases, emails, and digital assets.

Although MTECH4YOU may maintain backups for operational purposes, no guarantee is provided regarding:

  • Backup availability;
  • Backup retention period;
  • Backup restoration;
  • Data recovery.

MTECH4YOU shall not be liable for any loss of data.

16. Referral Commission Policy

Referral commissions are available exclusively to existing MTECH4YOU website service customers.

  • Eligible referrals may earn a commission of up to 20% on Website Design & Development Services.
  • Commission shall be payable only after the referred client has completed full payment.
  • No commission shall be payable for cancelled, suspended, incomplete, disputed, refunded, or unpaid projects.
  • Referral commissions cannot be adjusted against service invoices.
  • If the referrer has outstanding dues with MTECH4YOU, commission payments may be withheld until such dues are cleared.
  • MTECH4YOU reserves the sole right to approve, reject, modify, suspend, or discontinue the referral program at any time.

All decisions regarding referral commissions shall be final.

17. Website Use Restrictions

Users shall not:

  • Copy, reproduce, or distribute website content without permission;
  • Attempt unauthorized access to systems;
  • Upload malicious software;
  • Engage in unlawful activities;
  • Misrepresent their identity.

MTECH4YOU reserves the right to block access to users violating these provisions.

18. Disclaimer of Warranties

All services, content, and information are provided on an “as-is” and “as-available” basis.

MTECH4YOU makes no guarantees regarding:

  • Search engine rankings;
  • Business results;
  • Lead generation;
  • Revenue generation;
  • Continuous website availability;
  • Third-party services.

19. Limitation of Liability

To the maximum extent permitted by law, MTECH4YOU shall not be liable for:

  • Loss of profits;
  • Loss of revenue;
  • Business interruption;
  • Loss of data;
  • Loss of goodwill;
  • Indirect damages;
  • Consequential damages.

Under no circumstances shall the total liability of MTECH4YOU exceed the amount actually paid by the Client for the specific service giving rise to the claim.

20. Indemnification

The Client agrees to indemnify, defend, and hold harmless MTECH4YOU, its owner, employees, contractors, affiliates, and representatives from any claims, liabilities, damages, costs, or legal expenses arising out of:

  • Client-provided content;
  • Misuse of services;
  • Violation of applicable laws;
  • Breach of these Terms and Conditions.

21. Force Majeure

MTECH4YOU shall not be liable for delays or failures resulting from events beyond its reasonable control, including but not limited to:

  • Natural disasters;
  • Internet outages;
  • Government actions;
  • Cyberattacks;
  • Power failures;
  • Third-party service disruptions;
  • Pandemic-related disruptions.

22. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of India.

Any dispute, claim, legal proceeding, litigation, arbitration, or matter arising out of or relating to these Terms and Conditions, our website, services, invoices, payments, agreements, or business relationship shall be subject to the exclusive jurisdiction of the competent courts located in Bilaspur, Chhattisgarh, India.

The Client expressly agrees that all legal proceedings shall be initiated and conducted exclusively in Bilaspur, Chhattisgarh, India.

23. Modifications to Terms

MTECH4YOU reserves the right to modify, amend, update, or replace these Terms and Conditions at any time without prior notice.

The latest version published on our website shall supersede all previous versions.
